Unified Commercial Registration (CR) and Annual Confirmation Requirements in Saudi Arabia (2026 Guide)

Unified Commercial Registration (CR) and Annual Confirmation Requirements in Saudi Arabia (2026 Guide

Since 3 April 2025, Saudi Arabia has operated under a new Commercial Registration Law. Commercial Registrations no longer expire. Instead, every company must complete an annual online confirmation of its registered data through the Saudi Business Center platform (business.sa).

This change applies to all businesses in the Kingdom, including newly formed foreign-owned companies.

Key Features of the Current System

  • One unified national Commercial Registration that covers all activities and locations across Saudi Arabia.
  • No expiry date on the CR.
  • Mandatory annual electronic confirmation of data.
  • Existing companies that previously held multiple sub-registrations have until approximately April 2030 to consolidate or regularize those records.

Pros and Cons of the New System

Pros

  • No expiry date — the CR stays valid with annual confirmation.
  • Fully electronic and simpler than the old renewal process.
  • One national CR covers all activities and locations.

Cons

  • Must be completed every year without fail.
  • Missing the deadline leads to suspension, fines, and possible permanent cancellation.
  • Foreign-owned companies need a valid MISA Investment Registration with at least 30 days remaining.

When the Annual Confirmation Is Due

The due date is the anniversary of the CR issuance date. Companies can usually begin the process up to 30 days before the due date. After the due date, a 90-day grace period applies.

Fees

The confirmation fee depends on the entity type. For a limited liability company, the standard fee is SAR 1,200. Joint-stock and simplified joint-stock companies pay a higher amount.

Requirements for Foreign-Owned Companies

Foreign-owned companies follow the same annual confirmation process as local entities, with one key additional requirement: they must hold a valid MISA Investment Registration that has at least 30 days of remaining validity at the time of submission. Without this, the confirmation cannot be completed on the Saudi Business Center platform.

The person submitting the confirmation (usually the General Manager or an authorised representative) must also have proper access and authority on the platform.

Step-by-Step Process

  1. Log in to the Saudi Business Center platform (business.sa) using National Single Sign-On (Nafath) or the authorised company account.
  2. Navigate to: Electronic Services → Doing Business → Ministry of Commerce → Annual Confirmation of Main Commercial Registration Data for a Company.
  3. Select the relevant Commercial Registration.
  4. Agree to the terms and click “Apply for Service”.
  5. Select the reason “Based on the merchant’s request”, approve the declaration, and continue.
  6. Review and update the displayed data if necessary (activities, national address, managers, contact details, etc.).
  7. Review the summary, accept the final declaration, and submit.
  8. Pay the confirmation fee.
  9. Download the confirmation receipt.

The process is fully electronic.

Consequences of Missing the Confirmation

  • After the 90-day grace period, the CR is suspended and a fine is imposed. Linked government services and licenses are also affected.
  • During suspension the CR cannot be modified and many operational activities are blocked.
  • If the suspension continues for one full year without the confirmation and penalty being paid, the CR is permanently cancelled.

A suspended CR can normally be reactivated within the one-year window by completing the confirmation and paying the required amounts. Once cancelled, restoration is generally not possible.

What Newly Formed Companies Should Do

Newly formed companies should record the exact Commercial Registration issuance date immediately after formation and set a calendar reminder 30 to 45 days before the first anniversary. It is important to ensure that the authorised person (usually the General Manager or a properly empowered representative) has access to the Saudi Business Center platform. Throughout the year, companies should keep the National Address, manager details, and registered activities accurate and up to date. Foreign-owned entities must also maintain a valid MISA Investment Registration with sufficient remaining validity to complete the annual confirmation without issues.

What You Need to Remember

The new system replaces traditional renewal with a simple annual online confirmation. The process is straightforward when prepared in advance, but missing the deadline can suspend the company’s legal status and disrupt banking, visas, and government services.

Companies that treat the annual confirmation as a routine compliance task from the beginning avoid unnecessary risk and maintain continuous operational readiness.
